Terms of Service

Version 1.0 · effective Sep 14, 2026

PART A — THE CONTRACT

1. Who you are contracting with

1.1 These Terms of Service ("Terms") are a contract between Tapadia Creative Private Limited, a private limited company incorporated in India (CIN U72200TG2007PTC052951; GSTIN 36AADCR5305F1ZN), whose registered office is at 5-2-122/1, 1st Floor, Susheela Bhavan, RP Road, Secunderabad - 500003, Telangana, India ("BELA", "we", "us", "our"), and the person or entity that creates an account on, or uses, the Services ("Customer", "you", "your").

1.2 BELA is the brand under which the company provides the Services. If the contracting company changes, the version of these Terms you accepted continues to name the company it named when you accepted it.

1.3 Legal notices to BELA: tapadia@bela.im (see clause 53).

2. Definitions

In these Terms:

"Account" means the workspace and associated records created for you.

"Authorised User" means any individual you permit to access the Services through your Account.

"Customer Content" means material you or your Authorised Users submit to the Services, including business descriptions, documents, source code, data and configuration.

"Output" means anything the Services produce for you, including analyses, designs, source code, applications, tests, documentation, previews, Evidence Records and recommendations.

"Generated Application" means software, source code and related artefacts forming part of Output.

"Evidence Record" means a certificate, Engineering Passport, test, quality, review, security or readiness report, score, grade, badge, status or similar record that the Services produce about Output or a Generated Application.

"BELA Components" means templates, scaffolding, libraries, patterns, runtime code and other material owned or licensed by BELA that may be embedded in Output.

"Third-Party Components" means software or material owned by a third party, including open-source software, that may be embedded in or required by Output.

"Plan" means the package you are subscribed to, with the entitlements and limits shown in the product, in the applicable plan description, or in an Order Form.

"Early Access" means access to the Services, or to any part of them, that BELA designates as early access, preview or beta.

"Order Form" means a separate document signed by you and BELA for a specific engagement.

"Provider Credentials" means API keys or equivalent credentials for an AI model provider or other third-party service that you supply to the Services ("BYOK").

"Privacy Policy" means BELA's Privacy Policy published at bela.im/privacy.

"Services" means the BELA platform made available at bela.im and its subdomains, including BELA Studio, and any related support.

3. Acceptance, eligibility and authority

3.1 By creating an Account, accepting these Terms, or using the Services, you agree to these Terms. If you do not agree, do not create an Account or use the Services.

3.2 The Services are offered for business use only. By accepting these Terms you represent that you are acting for the purposes of your trade, business, craft or profession, and not as a consumer.

3.3 You must be at least 18 years old and legally capable of entering into a binding contract.

3.4 If you accept these Terms for a company or other organisation, you represent that you are authorised to bind it, and "you" means that organisation. Acceptance by any Authorised User of your Account binds you.

3.5 Your acceptance is recorded against the exact version of these Terms then in force, with its content hash, the time of acceptance, your Account, the accepting user and the network address from which it was given. That record is permanent (see clause 52).

4. Your Account and its security

4.1 You must give accurate registration information and keep it current. Your email address must be verified, by BELA or by an identity provider you sign in with, and access is limited until it is.

4.2 You are responsible for your credentials, for who you allow to access your Account, and for everything done through your Account, whether or not you authorised it, except to the extent caused by BELA's breach of clause 22.1.

4.3 You are responsible for your Authorised Users' acts and omissions as if they were your own, and must ensure they comply with these Terms.

4.4 Tell us promptly at tapadia@bela.im if you believe your Account has been accessed without authorisation.

PART B — THE SERVICE

5. What BELA is

5.1 BELA is a software and platform service. It provides tools that analyse a description of a business and produce Output, including source code you can download.

5.2 What you pay for is access to the Services and the entitlements of your Plan. You are not buying, and BELA is not selling, a finished product built to your specification, a business result, or professional services.

5.3 BELA is not a professional adviser. Output is not legal, tax, accounting, financial, medical, security, regulatory or other professional advice, creates no professional relationship, and must not be relied on as such. BELA holds no certification or accreditation in respect of Output.

6. AI and automated generation

6.1 The Services use automated reasoning and, where configured, artificial-intelligence models, to produce Output.

6.2 Output is probabilistic and is not verified for correctness before it is shown to you. Automated checks the Services may run are signals, not assurances; a passing check is not a statement that Output is correct.

6.3 Output may be inaccurate, incomplete, inconsistent, out of date or fabricated, may reference things that do not exist, and may contain defects or insecure patterns, even where it is presented with apparent confidence.

6.4 BELA does not measure, and makes no representation about, the accuracy, quality or defect rate of Output. No figure, score, grade or benchmark shown anywhere in the Services or BELA's marketing is a warranty.

6.5 Excluded uses. You must not use the Services or Output where an error could cause death, personal injury, or significant environmental, financial, legal or societal harm — including safety-of-life systems, medical diagnosis or treatment, critical infrastructure, aviation or vehicle control, weapons, or automated decisions about a person's legal rights, employment, credit or access to essential services — unless you have independently validated the Output for that use and accept sole responsibility for it.

7. Your business inputs

7.1 Output is derived from what you and your Authorised Users submit. You are responsible for the accuracy, completeness and lawfulness of Customer Content and for the instructions you give.

7.2 You represent that you own or are licensed to use all Customer Content, that submitting it and its processing by BELA do not infringe anyone's rights or breach any obligation you owe, and that where it contains personal data you have the lawful basis, notices and consents required.

8. Your review, testing and deployment responsibility

8.1 You must review, test and validate all Output before relying on it, deploying it, distributing it, or presenting it to anyone. Human review of Output is your responsibility and a condition of using the Services.

8.2 You are solely responsible for configuring, securing, deploying, operating, maintaining and supporting any Generated Application; for its compliance with the laws, regulations, standards and contracts that apply to you and to what you build; for the decisions you take on the basis of Output; and for their consequences.

9. No business-outcome guarantee

9.1 To the maximum extent permitted by law, BELA does not guarantee, warrant or undertake that your use of the Services, any Output or any Generated Application will produce or contribute to any revenue, profit, saving, growth or return; any level of customer acquisition, conversion, retention or engagement; any level of performance, availability or scale; any level of accuracy, completeness, originality or quality; compliance with any law, regulation or standard; suitability for your business, sector or customers; or any operational, commercial, strategic or competitive outcome.

9.2 BELA does not assume responsibility for your business, your business decisions, your costs (including your personnel, vendors, third-party services, transaction costs and taxes) or their results, unless BELA has expressly agreed otherwise in a signed Order Form.

10. No production-readiness representation

10.1 A Generated Application is produced automatically and is not reviewed by BELA for correctness, security, performance, accessibility, maintainability, regulatory compliance or fitness for any purpose.

10.2 BELA does not represent that any Generated Application is production-ready, secure, compliant, defect-free, scalable, or suitable for any use case, including where the Services or BELA's materials describe it as complete, generated, tested, verified, certified, ready, ready to ship, production-ready or runnable. Such descriptions report the state of a generation run or the result of a check; they are not warranties.

10.3 Evidence Records. An Evidence Record is a record of the checks, tests or reviews the Services actually ran, and of the results or states they observed, at the time it was issued. It is not a warranty, guarantee or undertaking; it is not a certification, accreditation or approval by any regulator, standards body or independent auditor; it does not state that software is production-ready, secure, compliant or free from defects; and it does not cover anything that was not checked, anything changed after it was issued, or the environment in which you deploy.

11. Preview

11.1 The Services may display a preview of a Generated Application. A preview is an illustration. It may use sample or placeholder data, may be rendered by a different mechanism from the downloadable source, and may differ from it in layout, content, behaviour and data.

11.2 Records entered in a preview are not a production database and carry no persistence, backup or recovery commitment. The downloadable source, not the preview, is the Output.

12. Hosting and deployment boundary

12.1 BELA does not host, serve, deploy or operate your applications. The Services provide source code for download and a preview inside the Services.

12.2 Where the Services offer to "publish" an application or display an address for it, that records a version and reserves an address. It does not serve the application to anyone, and is not hosting. An address reserved by BELA remains under BELA's control and may be released or changed.

12.3 Deploying and operating any application — including selecting, securing, paying for and maintaining servers, domains, certificates, databases, networks and third-party services, and protecting any data your application processes — is entirely your responsibility.

12.4 Any hosting, deployment, managed-operation or customer-server service is available only under a separate signed Order Form that expressly provides for it.

13. Integrations, third-party services and BYOK

13.1 The Services depend on third-party providers (including cloud hosting, email delivery, payment processing and, where used, AI model providers) and may let you connect third-party services. Those services are provided under their own terms and are outside BELA's control. BELA is not responsible for the acts, omissions, availability, performance, pricing, security, data handling, discontinuation or change of terms of any third party.

13.2 BYOK. Where you supply Provider Credentials: you represent that you are authorised to supply them and that doing so breaches no agreement; the relevant processing runs through your provider account under your agreement with that provider; all charges, taxes and overages incurred on your provider account are yours, however initiated; BELA does not reimburse, cap, monitor or notify you of provider spend; you are responsible for credential scope, rotation, revocation and spend limits; invalid, revoked, expired or rate-limited credentials are not a failure of the Services; and BELA may disable a BYOK integration immediately where it reasonably considers it insecure, misused, harmful or in breach of these Terms or a provider's terms.

13.3 BELA may add, substitute, reconfigure or remove any model or provider at any time. BELA does not guarantee that any model, provider or integration will remain available or behave as before.

14. Changes to the Services

14.1 BELA may modify, add to, suspend or discontinue any part of the Services, any feature, any model, any integration or any Plan, at any time.

14.2 Where a change materially and adversely reduces the entitlements of a paid Plan you are subscribed to, BELA will give the account owner at least 30 days' notice before it takes effect for your subscription, and you may cancel before it does. Where BELA discontinues a paid Service entirely during a prepaid period, clause 35.2(c) applies.

14.3 Clause 14.2 does not apply, and BELA may act without notice, where a change is required by law or a competent authority, or is needed to address a security risk, unlawful activity, fraud, abuse or a material risk to BELA, its customers or its infrastructure.

PART C — OWNERSHIP, DATA AND SECURITY

15. Your content

15.1 As between you and BELA, you own Customer Content. BELA claims no ownership of it.

15.2 You grant BELA a non-exclusive, worldwide, royalty-free licence, for the duration of the processing and any retention permitted by clause 40 and the Privacy Policy, to host, store, copy, transmit, process, analyse, display and adapt Customer Content and Output solely to: (a) provide, operate, maintain and support the Services for you; (b) secure the Services and detect, investigate and prevent abuse, fraud and security incidents; (c) maintain and improve the operation, reliability and security of the platform, using aggregated or operational information rather than the content of your material where that is sufficient; (d) comply with law and lawful requests; and (e) establish, exercise or defend legal claims.

15.3 BELA does not sell Customer Content, and does not use it to train shared or public AI models.

16. Ownership of Output

16.1 Subject to clauses 17 to 19, you own the Output generated for you and may use, modify, distribute and commercialise it.

16.2 BELA does not warrant that Output is original, novel, or free of similarity to other material, or that it does not infringe anyone's rights. Comparable inputs may produce comparable Output for different customers. Before commercialising or distributing Output you are responsible for satisfying yourself that doing so infringes no one's rights.

17. BELA's intellectual property

17.1 The Services, the platform, its software, engines, models, methods, templates, knowledge, documentation, design and the BELA brand — and all improvements to them — are and remain the property of BELA or its licensors. Nothing in these Terms transfers any of it to you.

17.2 BELA grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to use the Services during your subscription in accordance with these Terms.

17.3 You must not (and must not permit anyone to) copy, resell, sublicense, rent or provide the Services to third parties as a service; reverse engineer, decompile or disassemble the platform except to the extent the law expressly permits despite this restriction; use the Services or Output to build or train a competing service; or remove any proprietary notice.

18. BELA Components embedded in Output

18.1 Output may embed BELA Components. BELA grants you a perpetual, worldwide, non-exclusive, royalty-free licence to use, modify and distribute BELA Components solely as embedded in your Generated Application.

18.2 That licence does not permit you to use BELA Components on a standalone basis, to extract them for use outside a Generated Application, or to use them to build or offer a service that competes with the Services. Ownership of BELA Components remains with BELA.

19. Third-party and open-source components

19.1 Output may include or depend on Third-Party Components, which are licensed to you by their owners under their own licences, not by BELA. You are responsible for identifying and complying with those licences, including any notice, attribution, source-disclosure or copyleft obligation.

19.2 BELA gives no warranty and no indemnity in respect of Third-Party Components.

20. Feedback

If you give BELA feedback, ideas or suggestions, BELA may use them for any purpose without obligation, attribution or payment to you.

21. Personal data and privacy

21.1 The Privacy Policy describes how BELA handles personal data and forms part of these Terms.

21.2 Where Customer Content includes personal data about your own customers, users or others, you decide the purposes and means of that processing and BELA processes it on your instructions to provide the Services. You are responsible for the lawfulness of the collection and of your instructions, for giving the notices and obtaining the consents or other lawful basis required, and for responding to requests from those individuals. BELA will give reasonable assistance. You must not instruct BELA to process personal data in a way that would put BELA in breach of law.

21.3 You must not submit categories of personal data that attract heightened legal obligations (including government identity numbers, financial account credentials, health, biometric or children's data) unless you have satisfied yourself that the Services are adequate for that data; you remain responsible for that determination.

21.4 BELA may disclose Customer Content where required by law, court order or a competent authority. Where lawfully permitted, BELA will notify you first.

22. Security

22.1 BELA maintains administrative, technical and organisational measures intended to protect the Services and Customer Content, which currently include access control, separation between customers, encryption in transit and at rest, an immutable audit trail, and multi-factor authentication for platform administrators.

22.2 BELA holds no security certification (including SOC 2 or ISO 27001) and nothing in these Terms represents otherwise. No security measure is perfect. BELA does not warrant that the Services are secure, free from vulnerabilities, or immune from unauthorised access.

22.3 You are responsible for your credentials, your Authorised Users' access, your devices and networks, your Provider Credentials, and the security of any application you deploy or operate.

23. Backups

23.1 BELA takes operational backups for its own service-continuity purposes. Operational backups are BELA's tool, not a service to you, and you have no right to require a restoration from them.

23.2 BELA gives no commitment as to backup frequency, retention, location or completeness, or that any data can be recovered from any particular moment.

23.3 You are responsible for keeping your own copies of Customer Content and Output that matter to you, using the download and export facilities in clause 26. BELA does not guarantee recovery of anything you delete.

23.4 Where your Plan includes a backup capability, it is a tool you may use under the limits and policy of your Plan in force from time to time. It does not change clauses 23.2 and 23.3, and a backup is not a guarantee that restoration will succeed.

24. Versioning and rollback

24.1 Where your Plan includes versioning and rollback, the Services keep versions of generated applications and let you restore an earlier version, subject to the limits of your Plan, including any limit on the number of rollbacks. Limits are set by BELA per Plan and may change for future periods.

24.2 A rollback restores the generated source files recorded for that version. It does not restore your business description, BELA's understanding of it, your project settings or any preview to their state at that version, and a later generation may reproduce changes you rolled back. BELA does not guarantee that any particular version exists, is complete or can be restored, and rollback is not a substitute for your own copies.

25. Disaster recovery

25.1 Where your Plan includes disaster recovery, BELA maintains recovery points for eligible projects intended to allow recovery after a failure of BELA's infrastructure, with recovery-point and recovery-time objectives set by BELA per Plan.

25.2 Objectives are targets, not commitments. BELA does not guarantee that any objective will be met, that recovery will succeed, or that any data will be recovered, and no credit, refund or liability arises if an objective is not met. Clause 23.3 continues to apply.

26. Download and export

26.1 While your Account is active, you may download the source code, documents and other Output your Plan includes, through the Services.

26.2 A copy or export of your account data is available on request to tapadia@bela.im; there is no self-service control for it today.

26.3 Download before your access ends. Clause 40 governs what happens afterwards.

PART D — ACCEPTABLE USE

27. Acceptable use

27.1 You and your Authorised Users must use the Services only for lawful business purposes and in accordance with Schedule 1 (Acceptable Use Rules), which forms part of these Terms.

27.2 You must not represent Output, a Generated Application or an Evidence Record as having been reviewed, audited, certified, approved or warranted by BELA or by any independent person, or present an Evidence Record as anything other than the record described in clause 10.3.

28. BELA's enforcement rights

28.1 Where BELA reasonably believes Schedule 1 or these Terms have been or are being breached, BELA may, without limiting any other right: (a) investigate, including by reviewing account activity, audit records and, where strictly necessary and proportionate, Customer Content; (b) restrict functionality, throttle usage or block operations; (c) suspend under clause 37; (d) terminate under clause 39; (e) remove or disable access to material; and (f) report the matter to a law-enforcement or regulatory authority and cooperate with lawful requests.

28.2 BELA does not undertake to monitor Customer Content, Output or Generated Applications. The absence of action is not approval and not a waiver.

PART E — PLANS, PAYMENT AND REFUNDS

29. Plans, entitlements and usage limits

29.1 Your entitlements and limits are those of your current Plan. The Services may decline an operation your Plan does not include or that would exceed a limit.

29.2 "Unlimited" means BELA applies no numerical monthly allowance. It does not mean unmetered or guaranteed capacity: BELA may apply rate, concurrency and stability limits and may throttle or decline use that is materially disproportionate to normal business use of the Plan, automated at a scale the Plan was not sold for, or harmful to the Services or other customers.

29.3 BELA does not charge for usage above a Plan's limits unless an Order Form says so.

30. Free Plans and Early Access

30.1 A Plan, trial or Early Access that carries no charge is provided free of charge and requires no payment details. It is provided without any commitment as to its continuation, entitlements, limits, availability, uptime, support or service level, and BELA may limit, change, suspend or discontinue it at any time, subject to these Terms and applicable law.

30.2 No fee is payable for a Plan, trial or Early Access that carries no charge, so no refund or credit arises in respect of it.

30.3 Early Access features may be incomplete, may change or be withdrawn without notice, and are provided for evaluation and use under these Terms, including clauses 6, 8, 10 and 41.

30.4 Clause 47.3 applies to any Plan, trial or Early Access that carries no charge.

31. Trials

Where BELA grants a trial, its length and entitlements are those shown when it is granted. A trial requires no payment method and does not convert automatically into a paid subscription. On expiry the subscription expires; your Account is not deleted by expiry alone. BELA may withdraw, shorten or decline trials.

32. Paid Plans, billing and payment

32.1 Charges are those of BELA's published commercial configuration at the time of purchase or renewal, or of your Order Form. A price change applies from your next billing period, never retrospectively, and BELA will give the account owner notice before it takes effect.

32.2 Payments are processed by a third-party payment provider. BELA does not receive or store your card or bank credentials. Where you set up automatic payment, you authorise BELA, through its provider, to initiate payments for amounts falling due; you may withdraw that authorisation for future payments, which does not cancel your subscription or amounts already due.

32.3 Where a Plan renews automatically, it renews for successive periods at the then-current price until cancelled, and BELA will give notice before a renewal to which an increased price applies.

32.4 Where a payment fails, BELA may retry it and allow a grace period. If payment has not succeeded by the end of that period, the subscription expires and clause 37 may apply. BELA charges no interest or late fee.

33. Taxes

33.1 Charges are exclusive of taxes unless stated otherwise at the point of sale. You are responsible for all taxes, duties and levies on the supply other than taxes on BELA's income. Taxes BELA must collect are shown on the invoice and charged in addition.

33.2 You must provide, and keep accurate, any tax registration number required for correct invoicing. If law requires you to withhold any amount, you must gross up so that BELA receives what it would have received without the withholding, except where the law prohibits grossing up.

34. Cancellation and downgrade

34.1 You may cancel a paid subscription at any time. Cancellation takes effect at the end of the paid period then running, and your Plan remains available until then.

34.2 A downgrade takes effect at the start of your next billing period. An upgrade takes effect immediately and is charged pro rata.

35. Refunds

35.1 Fees are non-refundable, and no refund or credit arises for unused subscription time, cancellation, downgrade, non-use, or dissatisfaction with Output, except as stated in clause 35.2 or required by law. No fee is charged for a Plan, trial or Early Access that carries no charge, and no refund or credit arises in respect of it.

35.2 BELA will refund: (a) any amount charged in error, including a duplicate charge or an amount not matching your Plan; (b) any charge made without your authority, on verification; and (c) the unused portion of any prepaid period, pro rata, where BELA terminates your subscription other than for your breach (including for convenience under clause 39.3, or because BELA withdraws the Service or ceases to offer it in your country).

35.3 Where BELA terminates or suspends your Account for your breach, no refund arises for the remainder of the paid period.

35.4 Refunds are made to the original payment instrument through the original provider where possible. Charges levied by your bank or provider that BELA did not receive are not refundable by BELA.

36. Payment disputes and chargebacks

If you believe a charge is wrong, contact tapadia@bela.im first. If you initiate a chargeback or payment dispute, BELA may suspend your Account while it is resolved and may give the provider records of the transaction, your subscription and your acceptance of these Terms.

PART F — SUSPENSION AND TERMINATION

37. Suspension

37.1 BELA may suspend your Account, any Authorised User, any integration or any part of the Services, immediately and without prior notice, where BELA reasonably believes that: (a) you are in breach of these Terms or Schedule 1; (b) continued access presents a security or integrity risk to BELA, another customer or any third party; (c) your use is unlawful or exposes BELA to liability or regulatory action; (d) amounts due remain unpaid after the process in clause 32.4, or a payment dispute is open; (e) suspension is required by law or a competent authority; (f) your Account is being used for fraud or abuse, including to evade limits, pricing, suspension or termination; or (g) suspension is reasonably necessary to prevent a material risk to BELA, its customers or its infrastructure.

37.2 BELA will tell you of a suspension and its reason as soon as reasonably practicable, unless the law prohibits it or telling you would prejudice an investigation or someone's security, and will restore access once the cause is resolved.

37.3 Suspension does not extend or credit your subscription. Where a suspension not caused by your breach, your non-payment or your use materially deprives you of the Services for an extended period, you may ask BELA to make it good, and BELA will do so on a reasonable basis, which may include an extension or credit.

38. Termination by you

You may stop using the Services at any time and may cancel under clause 34 or ask BELA to close your Account. Amounts already due remain payable.

39. Termination by BELA

39.1 BELA may terminate these Terms and close your Account on notice, where you are in material breach and have not remedied it within a reasonable period after being asked.

39.2 BELA may terminate immediately, without prior notice, where: (a) your breach cannot be remedied; (b) you breach Schedule 1 in a way that warrants immediate action; (c) you are repeatedly in breach; (d) your use is unlawful, fraudulent or abusive; (e) your use presents a security risk or a material risk to BELA, its customers or its infrastructure; (f) amounts due remain unpaid after the process in clause 32.4; or (g) the law or a competent authority requires it.

39.3 BELA may terminate for convenience on at least 30 days' notice, and clause 35.2(c) applies.

39.4 BELA may terminate on reasonable notice where it withdraws the relevant Service or ceases to offer it in your country, and clause 35.2(c) applies.

40. Effect of termination and data after termination

40.1 On termination your right to use the Services ends, all licences granted to you end except clause 18.1 as to Output you have already downloaded, and amounts already due remain payable.

40.2 You keep the Output you have already downloaded. For 30 days after termination (other than termination under clause 39.2), you may ask BELA for an export of your Customer Content and account data, which BELA will provide in a machine-readable form. After that period BELA has no obligation to retain Customer Content or Output.

40.3 BELA may delete Customer Content and Output after the period in clause 40.2, and will delete, or make inaccessible, Customer Content on your valid request, in each case subject to: technical feasibility; security and fraud prevention; data held in operational backups until those backups expire; legal and regulatory obligations; the preservation of records relevant to an actual or reasonably anticipated dispute; accounting and tax requirements; and BELA's retention practices described in the Privacy Policy. BELA does not commit to a period within which deletion is completed. Deletion of Customer Content is separate from any right you or an individual may have in respect of personal data, which the Privacy Policy describes.

40.4 BELA may retain, after termination, a deletion request or an erasure request: invoices, payment records and financial ledgers for the period the law requires; legal-acceptance records; the audit trail and security logs; records needed to establish, exercise or defend legal claims or to comply with law; and data in operational backups until those backups expire.

PART G — RISK ALLOCATION

41. Disclaimer of warranties

41.1 To the maximum extent permitted by law, the Services, all Output, all Generated Applications, all previews, all Evidence Records and all BELA Components are provided "as is" and "as available", with all faults, and BELA disclaims all warranties, conditions, representations and terms of any kind, whether express, implied, statutory or otherwise, including any implied warranty or condition of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, accuracy, and any arising from course of dealing or usage of trade.

41.2 Without limiting clause 41.1, BELA does not warrant that the Services will meet your requirements, be uninterrupted, timely, secure or error-free, or that defects will be corrected; that Output will be accurate, complete, current, original, reliable, non-infringing or fit for any purpose; that any Generated Application will be secure, compliant, defect-free, production-ready or fit to deploy; that any Evidence Record is complete or covers what you need; that any third-party service or model will be available or behave in any way; or that any result will follow from your use of any of them.

41.3 BELA offers no service level agreement and no availability, uptime, response-time or resolution-time commitment. Support is provided on a reasonable-efforts basis during BELA's ordinary business hours, unless an Order Form says otherwise. BELA may interrupt the Services for maintenance, security or operational reasons, giving notice where practicable.

41.4 Nothing in this clause excludes a warranty or right that cannot lawfully be excluded; clause 49 applies.

42. Your indemnity

42.1 You will defend, indemnify and hold harmless BELA, its officers, directors, employees and agents from and against all claims, demands, proceedings, losses, damages, liabilities, fines, penalties, costs and reasonable legal fees arising out of or in connection with: (a) Customer Content, including any allegation that it infringes rights or was collected or processed unlawfully; (b) your or your Authorised Users' use of the Services in breach of these Terms, Schedule 1 or the law; (c) any Generated Application or other Output you deploy, distribute, operate or commercialise, and its effects; (d) your use of, or reliance on, Output; (e) unauthorised use of your Account other than through BELA's breach of clause 22.1; (f) your Provider Credentials, provider accounts and any charges, breach or loss on them; (g) any third-party service you select or connect; and (h) your breach of any law or of any obligation to a third party.

42.2 BELA will notify you of a claim, allow you to control its defence with reputable counsel, and give reasonable cooperation at your expense. You may not settle a claim in a way that imposes any obligation or admission on BELA without BELA's written consent. BELA may participate with its own counsel at its own cost.

43. BELA's indemnity (limited)

43.1 BELA will defend you against a third-party claim that the BELA platform itself, as provided by BELA and used in accordance with these Terms, infringes that third party's intellectual property rights enforceable in India, and will pay damages finally awarded against you, or agreed by BELA in settlement, on that claim.

43.2 Clause 43.1 does not apply to any claim arising from: Customer Content; Output, any Generated Application or any preview; BELA Components as embedded in Output; Third-Party Components; your modification of anything BELA supplied; combination with anything not supplied by BELA; your continued use after BELA has offered a modification or replacement that would avoid the claim; use in breach of these Terms; any free Plan, trial or Early Access; or any third-party service.

43.3 If a claim under clause 43.1 is made or is likely, BELA may at its option: procure your right to continue using the platform; modify or replace it so that it is non-infringing; or terminate your subscription and refund prepaid fees for the unused period.

43.4 Clause 43.1 is conditional on your prompt notice, your giving BELA sole control of the defence and settlement, and your reasonable cooperation. Clause 43 states BELA's entire liability, and your sole remedy, for any infringement claim, and is subject to clause 47.

44. Liability that is never excluded

Nothing in these Terms excludes or limits any liability for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence, or for any other liability that cannot lawfully be excluded or limited.

45. No liability for business outcomes

To the maximum extent permitted by law, and subject to clauses 44 and 49, BELA is not liable for any loss arising from the outcome of your use of the Services, including loss arising from: (a) your reliance on, or decisions taken on the basis of, Output; (b) any Generated Application you deploy, distribute, operate or commercialise, and anything it does or fails to do; (c) your inputs, instructions, configuration, integration or deployment choices; (d) your failure to review, test or validate Output; (e) your compliance or non-compliance with any law or obligation; (f) any third-party service, provider or model, including its unavailability, change or discontinuation; (g) your Provider Credentials and provider charges; (h) suspension or termination under these Terms; (i) your failure to keep your own copies of Customer Content or Output; or (j) any failure to meet a backup, versioning or recovery objective.

46. Exclusion of indirect and consequential loss

To the maximum extent permitted by law, and subject to clauses 44, 48 and 49, BELA is not liable to you for any indirect, incidental, special, exemplary, punitive or consequential loss, or for any loss of profit, revenue, turnover, business, contracts, anticipated savings, goodwill, reputation, opportunity, data or use, business interruption, or the cost of substitute goods or services, however arising and whether or not foreseeable or known.

47. Aggregate liability cap

47.1 Subject to clauses 44, 48 and 49, BELA's total aggregate liability to you for all claims arising out of or in connection with these Terms or the Services, whether in contract, tort (including negligence), breach of statutory duty, under any indemnity, or otherwise, and taken together across all events however arising, is limited to the amount you actually paid BELA for your Plan for the one monthly subscription period in which the first event giving rise to liability occurred, excluding taxes.

47.2 The cap in clause 47.1 is an aggregate cap for all claims, not a cap per claim, and is not increased by the number of claims, Authorised Users or projects.

47.3 Where your Plan, trial or Early Access carries no charge, no amount has been paid, and that is the limit.

48. What the cap and exclusions do not limit

Clauses 46 and 47 do not limit: (a) your obligations under clause 42; (b) amounts properly due from you, including fees and taxes; (c) your liability for breach of clause 17 (BELA's intellectual property) or Schedule 1; (d) your liability for misuse or unauthorised disclosure of BELA's confidential information; or (e) any liability under clause 44.

49. Mandatory law and reading down

49.1 Where the law gives you a right or remedy that cannot lawfully be excluded, restricted or modified, nothing in these Terms excludes, restricts or modifies it, and clauses 35 and 41 to 48 apply only to the extent the law permits.

49.2 If any limitation, exclusion or disclaimer is held unenforceable in whole or part, it is to be read down and given effect to the fullest extent the law permits, and the remaining provisions are unaffected.

PART H — GENERAL

50. Confidentiality

50.1 Each party may receive non-public information from the other. The recipient will use it only to perform these Terms, protect it with at least reasonable care, and disclose it only to personnel, contractors and advisers who need it and are bound by equivalent obligations, or where the law requires (giving notice where lawfully permitted).

50.2 Customer Content is your confidential information. The non-public parts of the Services, BELA's unpublished pricing, and the content of BELA's security and product information are BELA's confidential information.

50.3 These obligations do not apply to information that is or becomes public without breach, was lawfully known without restriction, is received lawfully from a third party, or is independently developed.

51. Force majeure

Neither party is liable for failure or delay caused by events beyond its reasonable control, including natural events, epidemic, war, terrorism, civil disturbance, governmental action, change in law, labour dispute, internet or utility failure, cyber-attack not caused by the affected party's failure to maintain reasonable security, or failure, interruption, degradation, change or withdrawal of a third-party service on which the Services depend, including cloud hosting, networks, email delivery, payment processing and AI model providers. Payment obligations already accrued are not excused.

52. Changes to these Terms, versions and re-acceptance

52.1 BELA may publish a new version of these Terms. Each version carries a version label, an effective date and a cryptographic hash of its exact text, and is published through BELA's legal document control. A new version does not alter any earlier version or any acceptance already recorded, and a superseded version remains readable.

52.2 Where a new version materially affects your rights or obligations, BELA will notify the account owner at least 15 days before it takes effect, except where the change is required by law or a competent authority, or is needed to address a security risk, unlawful activity, fraud or abuse, in which case it may take effect sooner. BELA may require you to accept a new version before continuing to use the Services. Where acceptance is not separately required, continued use after the new version takes effect is acceptance of it; if you do not agree, you must stop using the Services and may cancel.

53. Notices

53.1 BELA gives notices to you by email to the address on your Account, by notice displayed in the Services, or by posting on bela.im. A notice by email is deemed received on the next business day after sending unless BELA receives a delivery failure; a notice in the Services or on bela.im is deemed received when first displayed or posted. Keep your email address current.

53.2 Formal legal notices to BELA must be sent to tapadia@bela.im and to BELA's registered office in clause 1.1.

54. Assignment and subcontracting

You may not assign or transfer these Terms without BELA's written consent. BELA may assign or transfer these Terms to an affiliate or in connection with a merger, acquisition, reorganisation or sale of all or substantially all of its business or assets, on notice to you, and may use subcontractors and service providers to perform the Services, remaining responsible for them as these Terms provide.

55. Severability

If any provision is held invalid or unenforceable, it is to be modified to the minimum extent necessary to make it enforceable or, if that is not possible, severed; the rest of these Terms continues in force.

56. Waiver

A failure or delay in exercising a right is not a waiver of it. A waiver is effective only in writing.

57. Entire agreement and order of precedence

57.1 These Terms, the Privacy Policy, Schedule 1, the entitlements of your Plan and any Order Form are the entire agreement between you and BELA about the Services, and supersede all prior discussions and representations. Nothing in this clause limits liability for fraudulent misrepresentation.

57.2 If there is a conflict: a signed Order Form prevails for its engagement; then these Terms; then the Plan description. No purchase order or terms you supply apply, even if accepted or acknowledged.

58. Independent parties and third parties

The parties are independent contractors. Nothing creates a partnership, agency, employment or joint venture. No person other than you and BELA has any right to enforce these Terms.

59. Export control and sanctions

You must comply with export-control and sanctions laws applicable to you and to your use of the Services and Output, and must not use or permit use of the Services by or for any person or destination in breach of them.

60. Survival

Clauses 1, 2, 7, 8, 9, 10, 15.2 (as needed for retention permitted by clause 40.4), 16 to 21, 23.3, 33, 35, 40, 41 to 50, 52 to 58 and 60 to 64, and any other provision that by its nature should survive, survive termination or expiry.

PART I — LAW, DISPUTES AND GRIEVANCES

61. Governing law

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes), are governed by the laws of India, without regard to conflict-of-laws rules. Customers outside India are served on the same Terms, under the same law.

62. Disputes

62.1 Before starting court proceedings, a party raising a dispute must give the other written notice describing it, and senior representatives of both parties will try in good faith to resolve it within 30 days of that notice.

62.2 Clause 62.1 does not prevent or delay either party seeking urgent interim or injunctive relief, BELA recovering amounts due, or BELA exercising its rights under clauses 28, 37 or 39.

62.3 Any dispute not resolved under clause 62.1 is to be resolved exclusively by the courts named in clause 63.

63. Jurisdiction and venue

The courts at Hyderabad, Telangana, India have exclusive jurisdiction over any dispute or claim arising out of or in connection with these Terms or the Services, without preventing either party from seeking urgent interim relief in any competent court.

64. Grievances

64.1 BELA's Grievance Officer is Jay Tapadia (Founder), who can be reached at tapadia@bela.im. The Grievance Officer's name and contact details are also published in the Privacy Policy. If the holder of the office changes, BELA will publish the change, and that change alone does not alter your rights or obligations under these Terms.

64.2 BELA will acknowledge and resolve grievances within the periods required by applicable law.

15. Credentials and BYOK. Do not supply Provider Credentials belonging to anyone who has not authorised their use, use them in breach of the provider's terms, or use BYOK to obscure who is responsible for provider usage.

16. Reporting. Report violations of these rules and security vulnerabilities to tapadia@bela.im.
